SEC© Proposes Amendments to Regulation D, Form D, and Rule 156

In July of 2013, the Securities and Exchange Commission adopted a new set of rules that eliminated the ban on general solicitation and advertising in certain private offerings.

This was required by the JOBS Act that was passed by Congress recently. At the same time, the SEC© proposed amendments to Regulation D, Form D, and Rule 156 under the Securities act of 1933, subjecting general solicitation and advertising to additional filings and disclosure requirements.
